1. Acceptance of Terms
By accessing or using our website, services, applications, APIs, widgets or any content (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree, you must stop using the Services.
2. Our Services
CodeZilla Pte. Ltd. provides custom software development, websites, mobile and web applications, and related services (the "Services"). Additional terms or service agreements may apply to specific Services.
3. User Account and Security
If you create an account or use credentials provided by us, you are responsible for maintaining the confidentiality of your username and password. You agree to notify us immediately in case of any unauthorized use of your account.
4. Intellectual Property
All content, designs, code, logos, trademarks, and materials on our Services are owned by or licensed to CodeZilla, unless explicitly stated otherwise. You may use deliverables for which you have paid and which are transferred to you under a separate project agreement; however, we retain ownership of our underlying frameworks, tools, and libraries.
5. Client Deliverables and Ownership
For any project delivered by CodeZilla, upon full payment you will receive a licence or ownership of the project deliverables as defined in the project agreement. Unless otherwise agreed, CodeZilla retains the right to showcase the project in its portfolio.
6. Payment Terms
If you engage our Services, payment terms will be set out in a separate service agreement. Generally, a deposit is required to start work, and remaining payment is due upon completion or milestone as agreed. Late payment may incur interest or suspension of Services.
7. Project Timeline & Revisions
Project timelines will be agreed in writing. If you delay required inputs (content, feedback, etc.), the timeline may be extended. The scope of included revisions is limited as per the service agreement; extra work may be charged separately.
8. Warranties & Support
We warrant that the deliverables will materially conform to the project specification for a limited period (e.g., 30 days) after delivery. Further enhancements, new features, or third-party changes are not included unless agreed. We do not warrant uninterrupted availability of the Services.
9. Limitation of Liability
To the extent permitted by law, CodeZilla will not be liable for indirect, incidental, special or consequential damages (including loss of profits, data or goodwill). Our total aggregate liability for any claim is limited to the amount you paid for the Services.
10. Termination
Either party may terminate a service agreement if the other party materially breaches the agreement and fails to remedy within 14 days. Upon termination, you will pay for work completed and costs incurred up to the termination date.
11. Governing Law & Jurisdiction
These Terms and any service agreement are governed by the laws of Singapore. You submit to the exclusive jurisdiction of the courts of Singapore.
12. Changes to Terms
We may update these Terms at any time. Changes will be posted on this page with a "Last updated" date. Continued use of the Services after changes constitutes acceptance.
13. External Links
Our website may contain links to third-party websites. We are not responsible for their content or policies.
14. Severability
If any term in these Terms is found invalid or unenforceable under Singapore law, that term will be severed and the remaining terms will continue in full force.
15. Entire Agreement
These Terms, together with any project/service agreement, constitute the entire agreement between you and CodeZilla regarding use of the Services.
